Terms & Conditions

These Terms & Conditions (‘Terms’) govern all services provided by:

**Cheryl Searles trading as Yowie Websites (ABN 50 705 466 871)** (‘Provider’) to the Client (‘Client’).

1. Scope of Services

Yowie Websites provides web design, development, hosting, domain registration, and related digital services. These Terms apply to all services unless covered by a separate signed agreement.

2. Quotes & Proposals

All quotes and proposals are valid for 14 days unless otherwise stated. Acceptance of a quote, payment of a deposit, or instruction to proceed constitutes agreement to these Terms.

3. Payment Terms

A 25% non-refundable deposit is required before work begins, with the balance due upon completion unless otherwise stated. Invoices are payable within 14 days of issue. Late payments may incur a 5% late fee per month. Projects may be paused if payments are not received on time.

4. Cancellation & Refunds

Deposits are non-refundable once work has commenced. If a project is cancelled after commencement, the Client must pay for all work completed up to the cancellation date. Refunds are not available for domain or hosting services once activated.

5. Intellectual Property

Upon full payment, the Client owns the final website design, images, and content supplied by them. The Provider retains ownership of all underlying code, frameworks, and design systems used in development. All intellectual property rights remain with the Provider until full payment is received.

6. Client Responsibilities

The Client agrees to provide accurate content, approvals, and feedback in a timely manner. Delays in providing materials may extend project timelines. The Client warrants that all materials provided are owned or properly licensed for use.

7. Confidentiality

Both parties agree to keep confidential any non-public information shared during the course of work. This includes business information, access credentials, and client data.

8. Warranty & Liability

The Provider will deliver services with due care and skill but cannot guarantee uninterrupted website performance or compatibility with all browsers and devices. The Provider is not liable for any indirect, incidental, or consequential damages arising from the use of the website or related services. Liability is limited to the total amount paid for the service in question.

9. Hosting & Third-Party Services

Hosting and domain registration services are provided under separate agreements. The Provider is not responsible for downtime, data loss, or third-party failures beyond their control.

10. Termination

Either party may terminate the relationship at any time with written notice. In the event of termination, the Client must pay for all work completed to date, and any outstanding invoices become due immediately.

11. Portfolio Use

The Provider reserves the right to display completed websites and related materials in their portfolio and marketing materials unless the Client specifically requests otherwise in writing.

12. Governing Law

These Terms are governed by the laws of New South Wales, Australia. Both parties agree to submit to the jurisdiction of the courts of New South Wales.

13. Acceptance

By engaging Yowie Websites for services, the Client acknowledges that they have read, understood, and agreed to these Terms.
